Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the Gathered platform, website, and related services (the "Service") operated by Gathered. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not access or use the Service.

Description of the Service

The Service helps connect customers with restaurants and venues for event inquiries and bookings. We provide tools for venues to manage inquiries, communicate with customers (including via SMS when consented), and process payments. Venues are independent; we do not own or operate them. Your contract for an event is with the venue, not with us.

SMS Messaging Terms

If you consent to receive SMS messages through the Service, you agree to receive text messages from Gathered and the venue you contacted about your event inquiry, booking, and related updates. Message frequency varies. Message and data rates may apply. Consent to receive SMS messages is not a condition of purchase.

You may opt out at any time by replying STOP. For help, reply HELP or contact us at customer_support@bookgathered.com. You are responsible for providing a valid mobile number and for any fees charged by your wireless carrier.

By submitting an event inquiry with SMS consent enabled, you confirm that you are the authorized user of the phone number provided and that you agree to receive customer-care and booking-related text messages associated with that inquiry.

Use License

We grant you a limited, non-exclusive, non-transferable license to access and use the Service for its intended purpose. You may not:

  • Copy, modify, or create derivative works of the Service or its content
  • Reverse engineer, decompile, or attempt to derive source code from the Service
  • Remove or alter any copyright, trademark, or other proprietary notices
  • Use the Service for any illegal purpose or in violation of these Terms
  • Resell, sublicense, or commercially exploit the Service without our written consent
  • Use automated means (e.g. scrapers, bots) to access the Service without permission

User Accounts

To use certain features, you may need to create an account. You must provide accurate, complete, and current information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activity that occurs under your account
  • Notifying us promptly of any unauthorized access or use
  • Keeping your account information up to date

Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation
  • Infringe the intellectual property or other rights of others
  • Transmit harmful, offensive, fraudulent, or illegal content
  • Interfere with or disrupt the Service or its infrastructure
  • Gain unauthorized access to any system, account, or data
  • Impersonate any person or entity or misrepresent your affiliation
  • Collect or harvest user information without consent

Content and Intellectual Property

The Service and its original content, features, and functionality are owned by us and are protected by copyright, trademark, and other intellectual property laws. You may not use our trademarks or branding without prior written permission.

You retain ownership of content you submit (e.g. messages, inquiry details). By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, reproduce, modify, and display that content as necessary to operate and provide the Service.

Payment Terms

Payments for events, deposits, or other fees are processed by our payment provider (e.g. Stripe). You agree to pay all fees you incur. Refund and cancellation policies are set by the venue and may be presented at checkout; we are not responsible for venue policies. We may change our fees with reasonable notice. You are responsible for any applicable taxes.

Service Availability

We strive to keep the Service available but do not guarantee uninterrupted access. The Service may be modified, suspended, or unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any loss resulting from unavailability.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE (AND OUR OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify, defend, and hold harmless us and our officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your content, or your violation of these Terms.

Termination

We may suspend or terminate your account or access to the Service at any time, with or without cause or notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive (e.g. indemnification, limitation of liability, governing law) will survive termination.

Governing Law and Disputes

These Terms are governed by the laws of State of California, United States, without regard to conflict of law principles. Any dispute arising from these Terms or the Service shall be brought exclusively in the state or federal courts located in that jurisdiction, and you consent to personal jurisdiction there.

Changes to Terms

We may modify these Terms at any time. We will post the updated Terms on this page and update the "Last updated" date. For material changes, we may provide additional notice (e.g. by email or in the Service). Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service.
